Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WardenAuth platform ("Service") operated by WardenAuth ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to abide by them. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

WardenAuth provides a hosted Role-Based Access Control (RBAC) API and management dashboard. The Service allows you to define roles, permissions, and access policies, and evaluate access decisions for your applications via API.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and API keys. You must notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to our systems
• Resell or sublicense the Service without our written consent
• Use the Service in a way that could harm, disable, or impair it

5. Billing and Payment

Paid plans are billed in advance on a monthly basis. Usage-based charges (where applicable) are billed in arrears. Prices are shown inclusive or exclusive of VAT as indicated at checkout, and any applicable VAT or other taxes will be added where required by law. We use Stripe as our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

If a payment fails, we will notify you and provide a grace period. If the issue is not resolved, your account may be downgraded or suspended. You can manage your subscription at any time via the billing portal. Fees are non-refundable except where a refund is required by mandatory law, including your statutory rights as a consumer in the EEA or the UK.

6. Fair Use and Quotas

Each plan includes a monthly allocation of access evaluation checks. Exceeding your plan quota may result in requests being rejected or, on applicable plans, incurring overage charges as described in our pricing. We reserve the right to throttle or suspend accounts that materially abuse the Service.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service.

8. Intellectual Property

The Service, including its software, design, and content, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

9. Disclaimer of Warranties

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Nothing in these Terms excludes or limits any statutory rights or guarantees you have as a consumer under the mandatory laws of your country of residence in the EEA or the UK that cannot be excluded or limited by agreement.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.

11. Termination

You may terminate your account at any time from the settings page. We may suspend or terminate your access at any time for violation of these Terms, with or without notice. Upon termination, your data will be deleted within 30 days.

12. Consumer Right of Withdrawal (EEA / UK)

If you are a consumer in the EEA or the UK, you have the right to withdraw from your purchase within 14 days of entering into the contract, without giving any reason, in accordance with the EU Consumer Rights Directive and equivalent UK law. To withdraw, contact us at legal@wardenauthz.com before the period expires.

Because the Service is supplied as digital content delivered immediately, by starting to use a paid plan during the withdrawal period you expressly request that we begin performance and acknowledge that you lose your right of withdrawal once the Service has been fully performed. Where the Service has only been partially performed, you may be charged a proportionate amount for what has been provided.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of [EU member state / jurisdiction of our registered entity], without regard to its conflict-of-laws rules. If you are a consumer, you also benefit from any mandatory provisions of the law of the country in which you reside, and nothing in these Terms deprives you of the protection of those provisions.

14. Dispute Resolution

We aim to resolve any dispute amicably — please contact us first at legal@wardenauthz.com. If you are a consumer in the EU, you may also submit your dispute to the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. This does not affect your right to bring proceedings before the competent courts of your country of residence.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
